Inspectivity AI Features Terms
These Inspectivity AI Features Terms (the “AI Terms”) form part of, and are incorporated by reference into, the Inspectivity Platform Agreement between Inspectivity Pty Ltd (ACN 161 679 474) (“Inspectivity”) and the Subscriber (the “Agreement”). They set out the terms on which AI Features are made available and used. Capitalised terms not defined here have the meaning given in the Agreement.
1 General and Precedence
1.1 These AI Terms supplement and form part of the Agreement. Except as expressly modified here, the Agreement remains in full force and effect.
1.2 If there is any conflict between these AI Terms and the Agreement in respect of the AI Features, these AI Terms prevail to the extent of the inconsistency. In all other respects the Agreement prevails.
2 Definitions
(a) “AI Features” means any functionality within the Service that uses artificial intelligence or machine learning to generate outputs, recommendations or suggestions, including the AI Review Assistant (https://inspectivity.atlassian.net/wiki/x/EgAC1).
(b) “AI Output” means any output, recommendation, classification, score or suggestion generated by an AI Feature.
(c) “Subscriber Configuration” means the criteria, prompts, settings, thresholds and instructions defined by the Subscriber that govern how an AI Feature behaves for the Subscriber’s Inspection Templates.
3 Nature and Limitations of AI Features
3.1 The Subscriber acknowledges that any artificial intelligence or machine learning features made available within the Service are intended solely to assist the Subscriber and that Inspectivity does not provide engineering, legal, compliance, safety or other professional advice through such features.
3.2 Inspectivity may assist the Subscriber with any of the following, but, notwithstanding any such assistance, the Subscriber remains responsible for each of them:
(i) configuring and using any prompts or settings, or validating any defaults provided; (ii) reviewing, validating and verifying all outputs, recommendations or suggestions generated; and (iii) determining the suitability of such outputs for its own purposes.
3.3 Inspectivity makes no representation or warranty as to the accuracy, completeness or fitness for purpose of any AI Output, and, subject to clause 7, the Subscriber assumes the risk arising from its use of AI Outputs. The Subscriber acknowledges that, due to the nature of machine learning, AI Outputs may be inaccurate or incomplete and do not reflect the views or recommendations of Inspectivity.
3.4 AI Outputs are generated based on the Subscriber’s Configuration. The Subscriber is responsible for the content and effect of its Subscriber Configuration.
4 Human Oversight and Responsible Use
4.1 The AI Features are decision-support tools. The Subscriber will maintain appropriate human review and will not rely on an AI Output as the sole basis for any decision.
4.2 The Subscriber is responsible for ensuring its personnel are appropriately informed as to the nature and limitations of the AI Features, and for its and its Users’ compliance with applicable laws in connection with their use.
5 Enablement
5.1 The AI Features are disabled by default. Inspectivity will not enable an AI Feature in the Subscriber’s Production environment until these AI Terms are in effect and the Subscriber has requested enablement in writing.
5.2 The Subscriber may request that Inspectivity disable any AI Feature at any time.
6 Hosting, Data Residency and Model Training
6.1 The AI Features are provided using artificial intelligence models made available through Amazon Web Services (AWS) Bedrock. For each Subscriber, the AI Features operate within the same AWS Region as the Subscriber’s Inspectivity Platform Instance, and prompts and AI Outputs are processed within that AWS Region.
6.2 Consistent with clause 5.2 of the Agreement (ownership of Subscriber Data), Subscriber Data, prompts and AI Outputs are not used to train, fine-tune or improve any foundation AI model, whether Inspectivity’s or any third party’s, and Inspectivity does not permit any third party to do so.
7 Availability and Costs
7.1 The AI Features may be subject to additional Fees in the future. Inspectivity will publish any commercial implications, including any additional Fees, with at least 30 days’ notice to the Subscriber before they take effect.
7.2 If the Subscriber does not wish to accept such additional Fees, the Subscriber may opt out by requesting that the affected AI Features be disabled before the change takes effect, in which case no additional Fees will apply to the Subscriber for those AI Features.
7.3 Inspectivity may modify, suspend or discontinue any AI Feature. Availability of the AI Features is not guaranteed and forms part of the Service on an “as available” basis.
8 Intellectual Property
8.1 As between the Parties, the Subscriber owns its Subscriber Data and Subscriber Configuration, and AI Outputs relating to the Subscriber’s inspections form part of the Subscriber Data owned by the Subscriber under clause 5.2 of the Agreement. Inspectivity retains all right, title and interest in the Service, the Inspectivity Platform and the AI Features in accordance with clause 5.3 of the Agreement.
9 Liability
9.1 Nothing in these AI Terms limits or excludes any liability that cannot lawfully be limited or excluded, including under the Australian Consumer Law where it applies.
9.2 Subject to clause 9.1, the exclusions and limitations of liability in the Agreement (including the aggregate liability cap in Section 15) apply to these AI Terms and to the AI Features, which are treated as part of the Service for that purpose.
10 Term
10.1 These AI Terms apply for so long as the AI Features are available to the Subscriber under the Agreement. Clauses 1, 2, 3, 6, 8 and 9 survive termination or expiry.
